1. Introduction & Acceptance
This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "You") and Lock and Code Ltd trading as Michi System ("Licensor", "We", or "Us"), a company registered in England and Wales.
By downloading, installing, or using the Michi System software ("Software"), you agree to be bound by the terms of this agreement. If you do not agree to the terms of this EULA, do not install or use the Software.
2. Grant of License
We grant you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your internal business purposes (operating escape rooms or immersive experiences) strictly in accordance with the terms of this Agreement.
Subscription Fee: The license is conditional upon payment of the monthly subscription fee (£40 GBP/month for the full platform; additional rooms for the clue system are subject to a small per-room add-on fee). Failure to pay may result in immediate termination of access and functionality.
3. Safety & Hardware Warning (Crucial)
You acknowledge that the Software is designed to interface with physical hardware, including but not limited to magnetic locks, lighting, and smoke machines.
- No Safety Critical Use: The Software must NOT be used as the sole method of releasing players from a locked room.
- Physical Overrides Required: You agree to install and maintain independent physical emergency release mechanisms (e.g., "Green Break-Glass" or push-to-exit buttons) that function independently of the Software.
- Liability: We accept NO liability for any physical injury, entrapment, or hardware damage resulting from the failure of the Software to release a lock or trigger an effect.
4. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software.
Cap on Liability: Our total liability to you for any cause of action will practically be limited to the amount paid by you for the Software in the one (1) month period preceding the event giving rise to the claim (i.e., £40).
5. Disclaimer of Warranties
The Software is provided "AS IS" without warranty of any kind. We do not warrant that the Software will be error-free, that it will operate without interruption, or that it will be compatible with all third-party hardware (e.g., specific MQTT relays or Philips Hue bridges).
6. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from the Licensor if you fail to comply with any term(s) of this Agreement. Upon termination of the Agreement, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.
